'Panther Partners' and Disclosure of Trends Under Item 303

Robert J. Malionek, a partner at Latham & Watkins, and Paul A. Serritella, an associate at the firm, write that Item 303 of SEC Regulation S-K requires, as part of management's discussion and analysis in an issuer's registration statements, take-private transactions, annual and quarterly reports, and other filings required under the Exchange Act, the disclosure of "any known trends or uncertainties that have had or that the registrant reasonably expects will have a material favorable or unfavorable impact on net sales or revenues or income from continuing operations."
